We pay you to find your office. These terms and conditions (the "Terms") govern the Cashback rewards scheme (the "Scheme") operated by Seek Re Tech Ltd t/a Spacebly, a company registered in England and Wales ("Spacebly", "we", "us"). By registering for, participating in, or claiming a reward under the Scheme, you agree to these Terms.

1. Definitions

"Occupier" means the company, partnership, or other legal entity that enters into a Workspace Agreement with an Operator.

"Operator" means a flexible workspace provider listed on or transacting through the Spacebly platform.

"Success-Fee Operator" means an Operator that pays Spacebly a commission on Workspace Agreements introduced through the Spacebly platform.

"Subscription Operator" means an Operator that pays Spacebly a periodic subscription fee and pays no commission on Workspace Agreements introduced through the Spacebly platform.

"Workspace Agreement" means a licence or membership agreement for flexible office space concluded between an Occupier and an Operator as a result of an introduction made through the Spacebly platform.

"First Year Licence Fee" means the total licence or membership fees payable by the Occupier to the Operator for the first twelve months of the Workspace Agreement, exclusive of VAT, deposits, service charges, and one-off costs. Where the Workspace Agreement is shorter than twelve months, it means the total fees payable over the full term.

"Direct Seeker" means the Occupier participating in the Scheme in respect of its own Workspace Agreement, having registered directly with Spacebly.

"Referrer" means a person or entity that introduces a prospective Occupier to Spacebly using a valid referral link or code.

"Self-Introducer" means an individual who introduces their own employer or organisation to Spacebly under clause 3.3.

"Reward" means the Cashback payment or benefit described in clause 3.

"Qualifying Transaction" means a Workspace Agreement that completes, which is not subject to clawback under clause 5, and:
(a) where the Operator is a Success-Fee Operator, in respect of which Spacebly receives its commission from the Operator in full; or
(b) where the Operator is a Subscription Operator, under which the Occupier has taken occupation and paid the first month's licence or membership fee.

2. Who receives the Reward

2.1 All Rewards, whether taken as cash, vouchers, or experiences, are paid or provided to the Occupier as the contracting entity, and not to any individual director, employee, or agent of the Occupier, except as set out in clause 2.2 or where a Self-introduction election has been made under clause 3.3.

2.2 A Reward may be provided to a named individual only where: (a) the individual is the sole director or a founder of the Occupier and provides written confirmation of that status; or (b) the Occupier provides written consent, signed by a director or other duly authorised signatory, expressly authorising the individual to receive the Reward personally.

2.3 This clause exists to ensure the Scheme complies with the Bribery Act 2010 and equivalent anti-corruption laws. Spacebly will refuse, withhold, or reclaim any Reward where payment to an individual could constitute or appear to constitute an improper inducement in connection with a procurement decision.

2.4 Referrer Rewards are paid to the Referrer named at the point of referral, subject to the eligibility rules in clause 6 and the compliance rules in clause 7.

3. Reward structure — three routes

3.1 Direct route. Where an Occupier registers directly with Spacebly and completes a Qualifying Transaction, the Occupier may choose one of the following:

• 3% of the First Year Licence Fee, as a Cashback Experience or vouchers; or
• 1.5% of the First Year Licence Fee, paid as cash.

3.2 Referred route. Where an Occupier is introduced by a Referrer and completes a Qualifying Transaction:

• 2% of the First Year Licence Fee, paid as cash to the Referrer; and
• 1% of the First Year Licence Fee, paid as cash to the Occupier.

3.3 Self-introduction route. Where an individual introduces their own employer or organisation to Spacebly and a Qualifying Transaction completes, the individual may elect one of the following:

• 3% of the First Year Licence Fee to the individual as vouchers or experiences; or
• 1% of the First Year Licence Fee to the individual (cash or vouchers) and 2% to the employer as a credit or cashback — this split is available only with the employer's prior written consent, signed by a director or duly authorised signatory.

3.4 Minimum Reward. Where the total Rewards calculated under clauses 3.1 to 3.3 in respect of a Qualifying Transaction amount to less than £250, Spacebly will increase the total to £250. Where more than one participant is entitled to a Reward on the same Qualifying Transaction, that £250 is apportioned between them in the same proportions as their percentage shares under the applicable route. The minimum applies once per Qualifying Transaction and not per participant.

3.5 Registration condition. Rewards are only available where the Occupier registered with Spacebly, either directly through the Cashback sign-up link, through a Referrer's unique link or code, or through a Self-introduction, before being introduced to the relevant Operator, and the Workspace Agreement results from an introduction made through the Spacebly platform. No Reward is payable where the Occupier was already in contact or negotiation with the Operator in respect of the relevant requirement before registering.

3.6 Experiences and vouchers are provided as described at the point of claim and may include curated events, celebrations at the Occupier's new workspace, or partner credits. Vouchers and experiences have no cash alternative once selected, are non-transferable, and are subject to the terms of the relevant provider.

3.7 All Rewards are calculated on the First Year Licence Fee only. Renewals, extensions, expansions, and any period beyond the first twelve months are excluded.

4. When Rewards are paid

4.1 A Reward becomes payable only once the transaction is a Qualifying Transaction.

4.2 Rewards are paid or provided within 30 days of:
(a) where the Operator is a Success-Fee Operator, the date on which Spacebly receives its commission from the Operator in cleared funds; or
(b) where the Operator is a Subscription Operator, the date on which Spacebly receives reasonable evidence, which may include confirmation from the Operator, that the Occupier has taken occupation and paid the first month's licence or membership fee.

4.3 No Reward is due on signature of a Workspace Agreement alone.

4.4 Cash Rewards to an Occupier are paid by bank transfer to a UK business bank account held in the name of the Occupier.

5. Clawback

5.1 If the Occupier terminates, exits, or defaults on the Workspace Agreement within the minimum term or applicable notice period, or, where the Operator is a Success-Fee Operator, if Spacebly is required to repay or credit any part of its commission to the Operator, any Reward already paid or provided in respect of that transaction is repayable to Spacebly on demand.

5.2 Spacebly may withhold payment of any Reward until the expiry of the minimum term or notice period where it reasonably considers there to be a material risk of early termination.

6. Referral rules

6.1 A referral is valid only where the prospective Occupier first registers with Spacebly through the Referrer's unique link or code, or completes a valid Direct or Self-introduction registration.

6.2 Attribution lasts 12 months from first registration. If the Occupier does not complete a Qualifying Transaction within that window, the referral lapses.

6.3 One Referrer only may be credited per Qualifying Transaction. Where multiple referrals exist, the first valid registration takes precedence.

6.4 The following are not eligible to act as Referrers:

• employees, officers, and contractors of Spacebly and their immediate family members;
• employees, officers, and agents of the Operator party to the relevant Workspace Agreement;
• the Occupier itself and any individual acting on its behalf in the relevant transaction (self-referral under the Referred route is excluded — the Self-introduction route applies instead); and
• any person acting as an instructed commercial property agent or broker in relation to the relevant requirement. Agents and brokers may otherwise act as Referrers on requirements where they hold no instruction.

6.5 Referrers and Self-Introducers act in a personal or independent capacity, are not agents, employees, or representatives of Spacebly, and must not hold themselves out as such.

7. Compliance, anti-gaming, and fraud

7.1 Rewards are calculated on the genuine First Year Licence Fee. Any arrangement designed to inflate, misstate, or restructure fees to increase a Reward will result in forfeiture of the Reward and removal from the Scheme.

7.2 Participants must comply with all applicable laws, including the Bribery Act 2010. Where a Referrer or an individual claiming a Reward is employed or engaged by a third party, it is their responsibility to obtain any consent required by their employer or engager before accepting a Reward.

7.3 Spacebly may require reasonable evidence of identity, authority, and bank account ownership before releasing any Reward, and may withhold Rewards pending such checks.

7.4 Spacebly may exclude any participant from the Scheme where it reasonably suspects fraud, collusion, or abuse.

8. Tax

8.1 Rewards may be taxable in the hands of the recipient. Recipients are solely responsible for their own tax affairs, including the declaration of Rewards to HMRC where required. Spacebly does not provide tax advice.

9. Changes and withdrawal of the Scheme

9.1 Spacebly may amend these Terms or the Reward rates, or withdraw the Scheme, at any time on notice published on the Spacebly website. Changes do not affect Rewards already accrued on Qualifying Transactions completed before the change takes effect.

9.2 Referrals registered before 1 September 2026 remain governed by version 1.2 of these Terms.

9.3 Version 2.1 takes effect on 8 October 2026. It applies to Workspace Agreements that complete on or after that date, and to any earlier Workspace Agreement with a Subscription Operator for which no Reward was payable under version 2.0. Rewards accrued under version 2.0 are unaffected.

10. General

10.1 The Scheme is open to UK registered entities and UK residents aged 18 or over. It is not open where participation would breach any law or any obligation owed by the participant to a third party.

10.2 Spacebly's decision on eligibility, attribution, calculation, and payment of Rewards is final, acting reasonably.

10.3 Nothing in these Terms creates any partnership, agency, or employment relationship.

10.4 These Terms are governed by the laws of England and Wales and the courts of England and Wales have exclusive jurisdiction.
